Terms of Service

Effective September 4, 2026

These Terms of Service ("Terms") govern your use of BidSignal (the "Service"). By creating an account or using the Service, you agree to these Terms.

1. Eligibility and authority

You must be at least 18 years old to use the Service. By using the Service, you represent that you are at least 18 and that you are authorized to act on behalf of the company you identify during onboarding.

2. Account security and responsibility

You are responsible for maintaining the security of your account credentials and for all activity that occurs under your account. You are responsible for all users you invite or authorize to access the Service on behalf of your company and for ensuring they comply with these Terms.

3. Subscription, pricing, trial, and renewal

The BidSignal Founding Plan is $149 per month or $1,490 per year and includes up to three users and up to 50 ITB analyses per monthly billing cycle. New accounts can start a 14-day free trial with no credit card, no payment method, and no subscription created. One free trial is available per person and organization.

The free trial includes up to 3 ITB analyses and 10 Bid Coach questions in total. No automatic charge occurs when the trial ends, and no subscription begins automatically. When the trial ends, analysis and workflow features pause and your data is retained so it becomes available again once you subscribe.

A paid subscription begins only when you actively choose a plan. You are charged at checkout, and a monthly subscription renews monthly (an annual subscription renews yearly) until you cancel.

Cancellation takes effect at the end of the current paid billing period. See our Cancellation and Refund Policy for details.

4. AI-assisted document analysis

BidSignal uses automated and AI-assisted document analysis to extract project information from invitations to bid and to produce scores and Bid, Review, or Decline recommendations.

Results, scores, and Bid/Review/Decline recommendations may contain errors or omit information. BidSignal does not provide legal, engineering, estimating, safety, licensing, compliance, or financial advice.

You remain solely responsible for reviewing the original ITB, addenda, drawings, specifications, deadlines, contractual terms, and applicable laws before bidding. BidSignal does not guarantee bid eligibility, accuracy, profitability, award, project performance, or any particular result.

5. Acceptable use

You agree not to:

  • Upload unlawful, fraudulent, or infringing documents
  • Upload files containing malware, viruses, or other malicious code
  • Abuse, overload, or disrupt the Service or accounts of other users
  • Reverse engineer, decompile, or attempt to extract the Service source code or models
  • Access or attempt to access accounts, data, or systems without authorization

6. Customer content and ownership

You retain ownership of the documents and information you upload to the Service ("Customer Content"). You grant BidSignal a limited, non-exclusive permission to process, analyze, and store your Customer Content solely to provide the Service to you.

Uploaded documents may contain confidential business information. You represent that you have the right and permission to upload them and that doing so does not violate any agreement or law.

7. BidSignal intellectual property

The Service, including its software, scoring logic, models, designs, and branding, is owned by BidSignal and protected by intellectual-property laws. These Terms do not grant you any right to use BidSignal's intellectual property except as necessary to use the Service.

8. Third-party services

The Service relies on third-party services for payment processing, hosting, email, and AI processing. BidSignal is not responsible for the actions or availability of third-party services, and their use may be subject to their own terms and policies.

9. Service availability

BidSignal strives to maintain service availability but does not guarantee uninterrupted or error-free access. The Service may be unavailable due to maintenance, updates, or events outside our control.

10. Termination

You may cancel your subscription at any time through the Service. BidSignal may suspend or terminate access if you violate these Terms or if your account remains unpaid. Upon termination, your right to use the Service ends.

11. Disclaimers

The Service is provided "as is" and "as available." BidSignal disclaims all warranties not stated in these Terms, to the extent permitted by law.

12. Limitation of liability

To the extent permitted by law, BidSignal's total liability for any claim arising from the Service is limited to the amount you paid to BidSignal in the twelve months preceding the claim. In no event is BidSignal liable for indirect, incidental, special, consequential, or punitive damages.

13. Indemnification

You agree to indemnify and hold BidSignal harmless from claims arising from your Customer Content, your use of the Service, or your violation of these Terms or applicable law, to the extent permitted by law.

14. Changes to these Terms

BidSignal may update these Terms from time to time. We will post the updated Terms in the Service and update the effective date. Continued use of the Service after changes constitutes acceptance of the updated Terms.

15. Governing law

These Terms are governed by the laws of the Commonwealth of Kentucky, without regard to its conflict-of-laws principles.
